Summary
Provide legal advice to the Power Authority's Trustees, senior management, and all Authority business units, focusing on the Real Estate division. This role involves handling all aspects of real estate transactions, including acquisitions, dispositions, operation, and maintenance of Power Authority and Canal Corporation real estate interests. As a Sr. Attorney II, you will conduct legal research and drafting, with an emphasis on transactional, environmental, corporate governance, and regulatory compliance matters. You will collaborate internally on special projects to support NYPA’s strategic goals and work with external parties to manage real estate transactions, reporting to the Assistant General Counsel for Real Estate. #LI-CJ1
Responsibilities
- Support senior management by providing legal advice and counsel on matters and transactions as directed by an Assistant General Counsel
- Research recent changes in law, rules and regulations related to NYPA and its subsidiaries, identify potential impact to business operations and recommend actions to overcome and/or offset any unfavorable outcome and provide counsel on the implementation of recommended action
- Conduct legal analysis of more complex or difficult issues. Draft transaction documents, governance documents, compliance programs, legal opinions and briefs.
- Present/communicate legal analysis on key issues to senior management, their potential impact on NYPA’s and its subsidiaries’ programmatic and business operations and recommend course of action
- Attend meetings with business unit clients and provide legal support and counsel relative to key issues, aligning business unit interests with enterprise-wide risk tolerance
- Independently handle routine matters, cases and transactions on behalf of NYPA and its subsidiaries
- Collaborate with business unit clients to maintain and implement legal strategies that further NYPA’s and its subsidiaries’ programmatic and business interests
- Serve on committees and/or task forces in a legal advisory capacity, providing legal support as needed to achieve the goals of the committee and/or task force and report to Assistant General Counsel on major developments
- Work closely with and manage outside counsel to develop case and matter strategies and closely monitor billing practices
- Report on major developments to an Assistant General Counsel
Knowledge, Skills and Abilities
- Ability to provide timely responses and guidance to clients on more complex legal issues without the opportunity to conduct legal research
- Ability to draft transaction documents, legal opinions and briefs with minimal supervision and revision
- Ability to maintain professional, courteous and positive relations with business unit clients
- Demonstrate ability to handle more complex transactions and cases independently
- Maintain good transaction and case management and time management skills
- Possess deep verbal and written communication skills
- Deep experience and knowledge of the Authority’s structure and policies
Education, Experience and Certifications
- Juris Doctor Degree, admission to the New York State Bar and admitted to practice in New York State and Federal courts is required
- Minimum 7 years of legal experience as a practicing attorney
- Experience in one or more of the following areas: of law relevant to NYPA, such as real estate, energy, regulatory, litigation, municipal, commercial and project finance, and employment
- Experience in utility industry and capital markets preferred
Physical Requirements
Up to 25% travel primarily within NY State
The New York Power Authority is committed to providing fair, competitive, and market-informed compensation. The estimated salary range for this position is: $157,000-$196,000. The salary offered will be determined based on the successful candidates’ relevant experience, knowledge, skills, and abilities.
